Terms of Service

These Terms govern access to LingoChan's websites, meeting transcription, translation, summarization, Slack translation, and related services (the “Services”). By creating an account, accepting an order, or using the Services, you agree to them.
Mandatory consumer and local-law rights are not excluded. Translations are intended to be equivalent; a local-language version controls where applicable law requires it.

Your agreement is with Eggflow, LLC, Delaware, United States. If you use the Services for an organization, you confirm that you can bind it. An order form, checkout, or product-specific terms may add terms; negotiated order terms prevail over these Terms for a direct conflict, followed by product-specific terms and then these Terms.
2. The Services
LingoChan provides software for meeting audio capture, speech-to-text, translation, summaries and action items, and message translation in supported third-party platforms. Features, languages, limits, and availability may change. Beta or free features may be modified or discontinued with less notice where permitted by law.
3. Eligibility, accounts, and administrators
You must be at least 18 or the legal age to contract where you live. Keep credentials secure and provide accurate information. Organization and workspace administrators may configure the Services, access or export organization-controlled content, manage members, and request deletion. Their actions are governed by the organization's agreement with you.
4. Recording and participant consent
You are responsible for providing all notices and obtaining all consents required before recording, transcribing, translating, or analyzing a meeting, call, message, or other communication. You must have authority to submit participant and workspace content. Recording and workplace-monitoring laws vary by location; do not use the Services where consent or authorization is missing.
5. Customer content and permissions
You retain ownership of content you submit. You grant LingoChan and its processors a limited, worldwide license to host, reproduce, transmit, translate, and otherwise process that content solely to provide, secure, support, and improve the reliability of the Services. You confirm the content and instructions are lawful. We will not use customer content to train general-purpose models without separate explicit permission.
6. Acceptable use
Do not use the Services to violate law or others' rights; obtain unauthorized access; distribute malware or spam; evade limits; reverse engineer except where law permits; resell without permission; create deceptive or harmful content; or process highly sensitive data unless your agreement and configuration expressly permit it. We may investigate abuse and reasonably restrict affected access.
7. Plans, billing, cancellation, and refunds
Current prices, quotas, currencies, taxes, billing periods, and included features are those shown at checkout, in the Service, or in your order—not older marketing material. Subscriptions renew automatically unless canceled before renewal. Stripe or Lemon Squeezy may process payment; where checkout identifies Lemon Squeezy as merchant of record, its payment documents also apply. Cancellation normally takes effect at period end. Refunds are provided when required by law, the applicable checkout/provider terms, or an express written commitment.
8. Third-party services
The Services may interoperate with Slack, Google, Firebase, Soniox, AWS, Cloudflare, PostHog, Stripe, Lemon Squeezy, and other services. Your use of those services is also subject to their terms and privacy practices. We are not responsible for third-party services outside our control, but remain responsible for our own obligations when we appoint a processor.
9. Suspension, termination, and data
You may stop using the Services or cancel a paid plan through available controls. We may suspend access for security risk, non-payment, unlawful use, material breach, or platform requirements, and will give notice where reasonably practicable. On termination, access ends and data is handled under the Privacy Policy, customer instructions, legal duties, and backup cycles; export content before access ends where export is available.
10. Warranties, AI limitations, and liability
The Services are provided with reasonable care but, to the extent permitted by law, without warranties of uninterrupted or error-free operation. Transcripts, translations, summaries, and action items are probabilistic and may be incomplete or wrong; review important output and do not treat it as legal, medical, financial, or other professional advice. To the maximum extent permitted by law, neither party is liable for indirect or consequential loss, and LingoChan's aggregate liability is limited to fees paid for the affected Services in the prior 12 months (or US$100 for free Services). These limits do not apply where prohibited, including non-excludable consumer rights, fraud, willful misconduct, or liability that law cannot limit.
11. Governing law and regional rights
For business customers, Delaware law governs and state or federal courts in Delaware have jurisdiction, excluding conflict rules. This does not deprive a consumer of mandatory protections or courts available under the law of their habitual residence. EEA/UK consumers, California and other US residents, and users in Brazil, Japan, South Korea, Vietnam, Thailand, China, Canada, and other countries keep all non-waivable local rights.
12. Changes, general terms, and contact
We may update these Terms for legal, security, or product reasons and will provide notice required by law; material changes apply prospectively. If a provision is unenforceable, the rest remains effective. Failure to enforce is not a waiver. You may not assign the agreement without consent; we may assign it in a reorganization or sale, subject to law. These Terms and incorporated orders are the entire agreement. Contact [email protected].
